Terms of Service

These Terms govern access to and use of Signal Desk, including content production, connected-account automation, publishing, reconciliation, and analytics features.

1. Acceptance and eligibility

By accessing or using Signal Desk, you agree to these Terms. You must be legally able to enter into this agreement and meet the minimum age and other eligibility requirements of every platform account you connect. If you use Signal Desk on behalf of an organization, you represent that you are authorized to bind that organization.

2. Accounts and security

You are responsible for the accuracy of information associated with your Signal Desk use, for maintaining the security of your computer and connected accounts, and for activity performed through credentials or authorizations under your control. Notify Signal Desk promptly if you believe access has been compromised. Signal Desk does not ask for or store your social-platform password; platform connections use the provider's supported authorization process.

3. Connecting third-party accounts

You may connect only social accounts, Pages, profiles, and other resources that you own or are authorized to manage. By connecting an account, you authorize Signal Desk to use the permissions you grant for functions you request or enable, such as identifying the account, publishing, checking status, reconciling identifiers, and retrieving available analytics. You may disconnect Signal Desk or revoke platform authorization at any time.

Your use of a connected platform remains subject to that platform's terms, policies, technical limits, content rules, and account decisions. Signal Desk is not endorsed by or responsible for TikTok, Meta, or any other platform.

4. Your content and responsibilities

You retain ownership of your eligible original content. You grant Signal Desk the limited rights needed to receive, store, process, reproduce, format, transmit, and display that content solely to operate and improve the features you choose to use. This license ends when the content is deleted, except where a limited copy must be retained for security, legal, backup, or transactional-integrity purposes.

You are responsible for content you upload, generate, approve, schedule, or publish, including its accuracy, lawfulness, disclosures, privacy settings, and compliance with intellectual-property, publicity, privacy, advertising, and platform requirements. You must have all rights, licenses, permissions, and consents needed for your text, footage, images, audio, music, trademarks, source material, and account activity.

5. Automated publishing

Signal Desk can produce, queue, schedule, and publish qualified content automatically according to the settings and operating mode selected for the account. Depending on those settings, routine publication may occur without a separate confirmation for each item. Human review and controls may include approval, rejection, editing, priority, Publish Now, rescheduling, pausing automation, and disconnecting a platform.

You are responsible for selecting and monitoring settings appropriate for your accounts. Pausing Signal Desk prevents new Signal Desk submissions but may not cancel content already accepted or scheduled by a third-party platform. To stop or change a platform-owned scheduled post, you may also need to use that platform's controls.

6. Acceptable use

You may not use Signal Desk to:

  • violate law, platform rules, sanctions, court orders, or another person's rights;
  • publish content you are not authorized to use, or misrepresent identity, affiliation, sponsorship, or source;
  • harass, threaten, exploit, defraud, deceive, or unlawfully discriminate against others;
  • distribute malware, evade access controls, interfere with the service, or probe accounts or systems without authorization;
  • create artificial engagement, spam, or coordinated inauthentic behavior; or
  • use platform credentials, data, or permissions for purposes unrelated to the user-requested Signal Desk functionality.

7. Signal Desk intellectual property and unauthorized reposting

Signal Desk and its owners retain all rights in Signal Desk-owned branding, names, logos, software, interfaces, designs, documentation, original materials, and content published through official Signal Desk-owned or affiliated accounts, except where a notice or separate agreement states otherwise. Using Signal Desk does not transfer those rights.

Public visibility is not permission to copy, reproduce, republish, redistribute, modify, impersonate, or commercially exploit Signal Desk-owned videos or other protected content. Signal Desk may identify official or authorized accounts where appropriate. A repost from an unauthorized or unverified account does not imply authorization, affiliation, endorsement, sponsorship, or ownership by that account.

Signal Desk may protect its rights through available platform reporting systems, copyright notices, DMCA or equivalent takedown procedures where applicable, and other lawful remedies. Any enforcement is subject to applicable law and each platform's policies; Signal Desk cannot guarantee removal from a third-party platform.

Signal Desk does not claim ownership of third-party reporting, footage, music, trademarks, data, or other source material merely because it appears in Signal Desk-created content. If Signal Desk permits outside users to create content, those users retain ownership of their eligible original content unless a separate written agreement says otherwise.

8. Feedback

If you voluntarily provide product feedback, you allow Signal Desk to use it without restriction or payment, provided Signal Desk does not publicly identify you as the source without permission.

9. Platform and API dependency

Connected features depend on third-party APIs, permissions, account status, review processes, quotas, network access, and provider decisions. A platform may delay, reject, reschedule, limit, change, or remove content or access. Signal Desk may show a pending or failed state while the platform processes a request. Signal Desk cannot guarantee platform approval, delivery, distribution, impressions, analytics availability, or continued API access.

10. Changes, availability, suspension, and termination

Signal Desk may add, change, limit, or discontinue features and may update these Terms. The service may be interrupted for maintenance, security, provider changes, or circumstances outside reasonable control. Where practical, material changes will be communicated through the product or available contact information.

Access may be suspended or terminated where reasonably necessary to protect Signal Desk, users, platforms, or third parties; respond to legal requirements; address nonpayment if paid services are later offered; or stop a material breach of these Terms. You may stop using Signal Desk and disconnect connected accounts at any time. Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, and dispute-related terms, will survive.

11. Disclaimers

To the extent permitted by applicable law, Signal Desk is provided “as is” and “as available.” Signal Desk disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Signal Desk does not guarantee editorial accuracy, platform acceptance, audience performance, availability, uptime, or any particular business result. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

12. Limitation of liability

To the extent permitted by applicable law, Signal Desk and its owners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, account access, or business opportunity arising from use of or inability to use Signal Desk or a connected platform. Signal Desk's aggregate liability for claims relating to the service will not exceed the amount paid for Signal Desk in the twelve months before the event giving rise to the claim, or US $100 if no fee was paid. These limits do not apply where prohibited by law.

13. General terms

Applicable law governs these Terms without limiting mandatory consumer protections that apply to you. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without consent; Signal Desk may assign them in connection with a lawful reorganization, financing, or transfer of the product, subject to applicable law.
